Academy terms and conditions

Introduction

Avaloq Group AG, located at Allmendstrasse 140, CH-8041 Zurich (“Avaloq”), provides training related to the “Avaloq Core Platform” (“Product”) through the Avaloq Academy. The General Terms and Conditions of the Avaloq Academy (“GTC”) govern all services, courses, and certifications offered by Avaloq concerning the Product. Avaloq reserves the right to amend or replace these GTC unilaterally at any time. The most current version of the GTC is available on the website academy.avaloq.com. By registering for any course and/or certification (“Certification”), registrants and participants indicate their acceptance of, and agreement to be bound by, the valid version of the GTC and any supplementary rules in effect, such as the Examination Regulations, regarding all rights and obligations associated with the course and/or certification.

Courses and certifications

1. Offering and execution

The current course programme is published on the website academy.avaloq.com. Avaloq reserves the right to adjust or change the programme at any time or to not offer individual courses and/or certifications.

2. Registration

Registrations for courses and certifications are generally accepted via websites designated by Avaloq, e.g. academy.avaloq.com. However, there shall be no entitlement to participation and Avaloq and/or the respective provider reserves the right not to recognize registrations. Avaloq will inform the registrant whether the registration is accepted or rejected via e-mail.

3. AVALOQ certification

Courses associated with the Product may include examinations that, upon successful completion, will lead to participant certification. Avaloq is responsible for determining the content of certification exams, establishing examination criteria, and evaluating whether participants have fulfilled the requirements for certification. Charges are levied for all certifications. A certificate shall be valid for two years following the date of issue. The holder of a certificate shall him or herself be responsible for its renewal and shall not be explicitly advised by Avaloq of the expiration of validity. The result of the exam (passed/not passed) shall be reported to the participant . The further applicable rules for certification are published at academy.avaloq.com and/or on the website of the relevant provider.

By registering for and participating in any online proctored exam administered by Avaloq Academy (“the Exam”), you agree to comply with these GTC and the Examination Regulations.

4. Code of conduct

Participants are required to utilize all provided infrastructure - such as training rooms and IT resources—in strict accordance with applicable regulations. Specifically, participants may not install programs or files on the furnished IT resources, nor delete, alter, copy, or modify any existing programs or files therein. Additionally, connecting personal devices including computers, memory sticks, and similar equipment - to the IT resources supplied is strictly prohibited.

In the event of a violation of the above-mentioned obligations or other misconduct, participants may be excluded from the course without reimbursement of fees. Any damage to the infrastructure caused by a participant shall be remedied at the participant’s expense, including all reasonable costs for repair or replacement. Avaloq further reserves the right to assert any additional claims for damages available under applicable law.

Participants must complete all mandatory course requirements, attend all scheduled classes in full, and actively participate in course activities, including discussions, exercises, and assessments, as required for the successful achievement of the course objectives; failure to meet these requirements, including insufficient attendance or lack of active participation, constitutes grounds for failure of the course and may result in exclusion from the course without reimbursement at Avaloq's reasonable discretion.

Participants must comply with the rules set out in the “Examination Regulations” in order to receive the relevant certificate. Failure to comply will result in automatic exclusion from the Exam without a refund of fees, and the certificate will not be issued.  

5. Avaloq Academy learning platform

Each participant who registers for a course shall be required to first open a customer account with their name and e-mail address on the Avaloq Academy Learning Platform. The information in this account shall be managed by the themselves before, during and after the course.

In addition, Avaloq shall be entitled to inform third parties (the participant’s employer) whether a certain participant is attending the courses, what their status is, and whether they hold a certification; and if so, what type of certification it is and how long it remains valid.

Upon request, Avaloq Academy may share information with the participant’s employer regarding course attendance, participation status, and certification.

6. Fees

The Avaloq Academy will charge fees for its services. Unless otherwise agreed, the current price list is available at academy.avaloq.com. The prices and fees stated (including cancellation fees) are net. The statutory value added tax (VAT) shall need to be added in each case. Whether VAT is at all applicable and at which rate shall depend on the respective applicable law.

The Academy may require prepayment of all or part of the fees prior to confirming your registration in order for you to attend the courses.

The invoice amount is payable in full within 30 days of receipt of the invoice.

7. Cancellations

Once the registration is confirmed, it is considered binding. 

Rules apply:

1. For instructor-led and blended learning courses, the following supplementary cancellation conditions apply:

  • Cancellations within seven (7) calendar days prior to the scheduled course start will result in a CHF 500 cancellation fee per participant.
  • In cases of non-attendance (i.e., failure to attend without prior notification), the full course fee will be charged.
  • The participant or registering entity may submit a formal written request seeking a waiver of the cancellation fee; however, such waivers are granted solely at the discretion of Avaloq Academy and require explicit written approval.

2. For self-study courses, including those within the Academy Subscription Library:

  • Once registration is completed, cancellations, re-bookings, or refunds are not permitted.
  • Full course fees remain payable under all circumstances, regardless of usage or completion of self-study materials.

These provisions apply in addition to, and do not replace, the general cancellation conditions set out above.

If a course, for any reason, is cancelled by Avaloq, any payments already made for it shall be reimbursed without interest. If Avaloq or the relevant provider is unable to deliver a scheduled course due to circumstances beyond their control (e.g. an instructor’s accident or illness, etc.), alternative course dates will be offered, which the participant can attend. If the participant cannot attend any of the dates, then they are entitled for an Academy voucher.

8. Usage rights

All documentation and materials given to an Avaloq Academy participant are intended as illustrative examples and are not legally binding. Classes, course materials, recordings and other resources are protected by copyright law. Permission to use them will only be granted in writing. Documents or content made available to participants for online viewing may only be used by the participant. Participants may save the files to their computers and mobile devices as many times as they wish but must ensure that only they have access to them. The productive use or use for productive purposes of the documentation and other materials provided shall be prohibited. Copying, utilising and/or reselling the materials shall only be permitted with prior written approval of Avaloq. In particular, no usage rights to the Product shall be granted or transferred.

9. Recording

Every kind of recording during the course is strictly prohibited.

10. Data protection

For the provision of services under these GTC, Avaloq shall process the personal data of participants in courses and/or certifications (“Customer data”). These Customer data shall be processed for the following purposes:

  • for the provision of services, in particular giving courses and/or certifications and invoicing;
  • for administrative purposes;
  • to allow the employer of an individual to access and update specific specialist areas;
  • to provide information to third parties about certifications;
  • to inform registered individuals, legal entities and participants about products and services from Avaloq and/or associated companies (e.g. new training on offer, etc.).

Customer data may be processed outside of Switzerland and made accessible to companies associated with Avaloq, employers of certified individuals and third parties inside and outside of Switzerland. Customer data may also be provided to third-party companies for processing in the context of delivering courses, conducting examinations and issuing certificates.

11. Nature of the Services

Avaloq shall provide all services under these GTC as a mandate in accordance with Art. 394 et seq of the Swiss Code of Obligations (OR).

 12. Liability

Liability is limited – to the extent permitted by law – to intent and gross negligence. To the fullest extent permissible by law, Avaloq (including its agents) shall expressly disclaim liability for direct or indirect damage.

13. Final conditions

Transfer of rights and obligations

Avaloq shall be entitled to transfer the rights and obligations arising from these GTC to third parties, either individually or in their entirety.

Performance by third parties

Avaloq shall be entitled to transfer the performance of services under these GTC, either entirely or in part, to third parties as subcontractors. In this case, Avaloq shall bear the same responsibility for services provided by third parties as for its own services.

Offsetting

It is not permitted to offset any payments owed under these GTC with claims against Avaloq.

Invalidity

If any provision of these GTC should be invalid or be declared invalid, the enforceability of the other provisions shall not be affected thereby. The invalid or ineffective provisions shall be replaced by other provisions that are valid as to their form and contents and that come as close as possible to the purpose and intentions of the invalid or ineffective provisions.

Applicable law and place of jurisdiction

The form, content and interpretation of these GTC shall be governed exclusively by substantive Swiss law. Zurich 1 shall be the exclusive place of jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980 shall not apply.
